Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Merchant") and Quickset Payments, LLC ("Quickset," "we," "our," or "us") governing your access to and use of the Quickset Payments platform, website, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

01 Eligibility and Account Registration

To use the Services, you must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of your business. By registering, you represent and warrant that:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@quicksetpayments.com if you suspect unauthorized use of your account.

02 Payment Processing Services

Quickset provides a unified payment processing platform that enables you to accept multiple payment methods including card payments, ACH transfers, tap-to-pay, and digital invoices. Payment processing is facilitated through our licensed acquiring bank partners and payment network participants.

We reserve the right to refuse to process, hold, or reverse transactions that we reasonably believe violate these Terms, applicable law, or card network rules.

03 Fees and Settlement

Fees for the Services are as set forth in your Merchant Agreement or order form executed at onboarding ("Merchant Agreement"), which is incorporated into these Terms by reference. You agree to pay all applicable fees, which may include transaction fees, monthly platform fees, and chargeback fees.

We reserve the right to establish a reserve account or withhold settlement funds as reasonably necessary to cover actual or anticipated chargebacks, refunds, returns, or other payment reversals.

04 Prohibited Uses

You agree not to use the Services to process transactions for any prohibited business category, including but not limited to:

You also agree not to: (a) attempt to circumvent security measures; (b) use the Services to process transactions on behalf of a third party without our written consent; or (c) submit transactions that do not arise from a bona fide sale of goods or services.

Violation of this section may result in immediate suspension or termination of your account and may be reported to relevant regulatory or law enforcement authorities.

05 Chargebacks and Disputes

A chargeback occurs when a cardholder or their bank disputes a transaction. You are responsible for all chargebacks, fees, fines, and penalties arising from transactions processed through your account. You agree to:

We may debit your settlement account or reserve for chargebacks, associated fees, and related costs. Excessive chargeback rates may result in additional fees, reserves, or account termination.

06 Data Security and PCI Compliance

You are responsible for maintaining PCI DSS compliance for your business environment, including any systems that store, process, or transmit cardholder data. You agree to:

Quickset employs industry-standard security practices for our platform, but we do not guarantee that unauthorized third parties will never be able to defeat those measures.

07 Term and Termination

These Terms are effective upon your acceptance and continue until terminated. Either party may terminate the Services upon written notice. We may suspend or terminate your account immediately and without notice if:

Upon termination, your right to use the Services ceases immediately. We will settle any remaining funds owed to you after deducting outstanding fees, chargebacks, and reserves, subject to any applicable hold periods.

08 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QUICKSET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKSET'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO QUICKSET IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL QUICKSET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full.

10 Indemnification

You agree to defend, indemnify, and hold harmless Quickset, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any transactions processed through your account.

11 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree that any arbitration will be conducted on an individual basis and not as a class action or other representative proceeding. If this class action waiver is found unenforceable, then the arbitration agreement shall be void.

12 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date and, where appropriate, by sending a direct notification to your registered email address. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Services and notify us to close your account.

13 General Provisions

These Terms, together with your Merchant Agreement and our Privacy Policy, constitute the entire agreement between you and Quickset regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision shall not constitute a waiver of that right. These Terms may not be assigned by you without our prior written consent.
